The Children’s Theatre Company has a large Board of Directors. As a nonprofit organization, the Board of Directors is ultimately responsible for overseeing the well being of the organization.
This can be categorized in three broad categories:
- Duty of Care:
- A board member must be active in organizational planning and decision making. Board members must exercise reasonable care when he or she makes a decision for the organization.
- We have questions about the level to which the CTC Board has been involved in the decision making about the legal strategies used in the first lawsuit, and which CTC appears to be preparing to use again in the upcoming cases. We are calling on the Board to insist upon a humane legal strategy in all future proceedings.
- Duty of Loyalty
- A board member must never use information gained through his/her position for personal gain and must always act in the best interests of the organization. Board members must avoid conflicts of interest or the appearance of conflicts.
- We have questions about connections Board members have to the insurance companies representing the theater, and to connections between the Board and the theater’s legal representation.
- Duty of Obedience.
- A board member must be faithful to the nonprofit organization’s mission. He or she cannot act in a way that is inconsistent with the organization’s goals. The public trusts the board to manage donated funds to fulfill the organization’s mission.
- The mission of CTC is to create extraordinary theatre experiences that educate, challenge, and inspire young people and their communities. The vision is to unleash the power of curiosity, empathy, and imagination.
- We would like to know how the current legal strategy of aggressively attacking survivors in court helps in these areas.
